Terms and Conditions

These Terms and Conditions (the “Terms”) govern your access to and use of the Auro Finance website, the Auro presale application, and any related interfaces (collectively, the “Services”), operated by Auro Finance SPV (“Auro,” “we,” “us,” or “our”), a Cayman Islands entity. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You may use the Services only if you are at least 18 years old and not a person or entity barred from using the Services under the laws of any applicable jurisdiction. You represent that you are not located in, organized under the laws of, or otherwise subject to a jurisdiction in which participation in token sales of this kind is prohibited or restricted, including without limitation jurisdictions subject to comprehensive sanctions and any other restricted jurisdiction identified by Auro on the Services.

2. The AURO Presale

The Services may allow eligible users to commit USDC or SOL in exchange for locked AURO at the disclosed presale basis. Locked AURO is available immediately after transaction confirmation, while transferability remains restricted until the applicable unlock conditions are met. The presale window, pricing, allocation caps, and unlock schedule are described on the presale interface and may be modified or terminated by Auro at its sole discretion before the window opens or, in exceptional circumstances, while the window is open.

3. No Guarantees; Variable Rewards

AURO is not equity, debt, a security, a fund interest, a derivative, or a deposit. The $0.10 presale basis is not a guaranteed market value, price floor, or promise of price appreciation. Any rewards associated with AURO staking are variable, may be reduced or zero in weak periods, and depend on protocol performance, market conditions, and eligibility. No person guarantees rewards, yield, token value, or protocol performance, including Sameer Group LLC, which is a strategic and infrastructure partner only.

4. Wallets and Self-Custody

You are solely responsible for the security of your wallet, private keys, seed phrases, and any device used to access the Services. Auro does not hold custody of user assets and cannot recover lost keys, reverse on-chain transactions, or restore access to wallets that have been compromised.

5. Acceptable Use

You agree not to:

  • Use the Services in violation of any applicable law or regulation.
  • Attempt to interfere with, disrupt, reverse-engineer, or compromise the Services or any related infrastructure.
  • Use the Services to engage in fraud, market manipulation, money laundering, terrorist financing, or sanctions evasion.
  • Misrepresent your identity, jurisdiction, or eligibility, or attempt to circumvent eligibility controls.
  • Use bots, scrapers, or automated tools to abuse the Services.

6. Intellectual Property

All content, branding, designs, trademarks, copyrights, and source code associated with the Services are owned by Auro or its licensors, except where otherwise indicated. You may not use the Auro name, marks, or branding without our prior written permission.

7. Third-Party Services

The Services may interact with third-party wallets, blockchains, oracles, custodians, and infrastructure providers. Auro is not responsible for the availability, security, or performance of any third-party service.

8. Disclaimer of Warranties

The Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability.

9. Limitation of Liability

To the maximum extent permitted by law, in no event will Auro, its affiliates, officers, directors, employees, agents, partners, or licensors be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or in connection with your access to or use of the Services.

10. Indemnification

You agree to indemnify and hold Auro and its affiliates harmless from any claim, demand, liability, or expense, including reasonable attorneys' fees, arising out of your use of the Services, your violation of these Terms, or your violation of any third-party rights.

11. Modifications

We may modify these Terms at any time by posting a revised version on the Services. Continued use of the Services after changes are posted constitutes acceptance of the modified Terms.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Cayman Islands, without regard to its conflict of laws principles. Any dispute arising under or in connection with these Terms is subject to the exclusive jurisdiction of the courts of the Cayman Islands.
